Master Services Agreement & Code Rights

Before any engineering or design work commences, SwiftLoop Systems and the Client agree upon a written Scope of Work (SOW) document detailing exact features, user workflows, deliverable milestones, timeline targets, and the total fixed investment.

Any modifications or feature requests outside the agreed SOW during development are treated as Change Requests and quoted separately with clear cost and timeline implications, preventing scope creep and unapproved billing.

SwiftLoop Systems transfers 100% of all intellectual property rights—including Git repositories, custom source code, database schemas, API configurations, UI/UX Figma assets, and production deployment credentials—to the Client upon milestone completion and invoice clearance.

SwiftLoop Systems does not retain any proprietary licenses, recurring software royalties, or restrictive encumbrances over custom software engineered specifically for the Client.

Third-party open-source libraries (e.g., React, Node.js packages) remain subject to their respective open-source licenses (MIT, Apache 2.0).

Projects are structured into sequential sprint milestones (typically 2-week cycles). At the conclusion of each milestone, SwiftLoop Systems provides a functional staging deployment and a recorded video walkthrough demonstrating all completed features.

The Client has seven (7) business days to review and approve the sprint deliverables. Payment for subsequent milestones is released only following approval of the prior milestone.

SwiftLoop Systems provides a complimentary thirty (30) day warranty period commencing on the date of production launch.

During the warranty period, any critical bugs, functional regressions, or variances from the agreed Scope of Work are diagnosed and resolved at zero additional cost to the Client.

Ongoing server maintenance, feature additions, or third-party API deprecation fixes beyond the warranty period may be engaged through our monthly retainer or SLA maintenance plans.

Both parties agree to treat all business data, technical architecture, product concepts, source code, user data, and financial figures as strictly confidential information.

SwiftLoop Systems signs mutual Non-Disclosure Agreements (NDAs) prior to reviewing proprietary materials or commencing scoping sessions with prospective international clients.

To ensure adherence to project timelines, the Client agrees to provide necessary third-party access (domain DNS, cloud hosting accounts, API keys), prompt sprint feedback, and timely milestone approvals.

SwiftLoop Systems is not liable for project delays resulting from prolonged client feedback latency exceeding ten (10) business days.

These Terms and any associated Master Services Agreements are governed by and construed in accordance with standard international commercial arbitration principles and local jurisdictions specified in the client’s executed agreement.

Any dispute arising out of this agreement shall first be addressed through good-faith executive mediation between project leadership.
